Greenfound Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of greenfoundgolf.com and the related mobile and web applications (collectively, the "Service") operated by Greenfound ("Greenfound," "we," "us," or "our"). The Service connects golf students ("Students") with independent golf coaches ("Coaches") for the purpose of booking, scheduling, and communicating about golf lessons.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use the Service.

1. The Nature of the Platform (Disclaimer)

a. Platform as an Intermediary

Greenfound is a marketplace and communications platform that facilitates connections between Students and Coaches. Greenfound is not a party to, and does not provide, golf coaching, instruction, training, or any related service. Any coaching session booked through the Service is an agreement solely between the Student and the Coach. Greenfound is not responsible for the performance, cancellation, quality, or outcome of any coaching session.

b. Coach and Student Responsibility

Coaches are independent contractors and are not employees, agents, partners, or representatives of Greenfound. Greenfound does not employ, supervise, direct, or control the manner in which any Coach provides instruction, and does not monitor the ongoing quality, safety, or professional conduct of any Coach beyond our initial application screening process described in Section 2.

Coaching advice, instruction methodology, on-course or on-range safety, and professional conduct during a session are the sole responsibility of the Coach and the Student involved. Students are responsible for evaluating whether a Coach is suitable for their needs, and Coaches are responsible for ensuring that lessons are conducted safely and professionally. Greenfound makes no representation or warranty regarding the skill, qualifications, background, or conduct of any Coach or Student.

2. User Accounts and Conduct

a. Account Security

You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. You agree to notify Greenfound promptly of any unauthorized use of your account. Greenfound is not liable for any loss or damage arising from your failure to safeguard your credentials.

b. Coach Application and Screening

Coaches must apply and be approved before offering lessons through the Service. Our screening process may include a review of the information a Coach submits, such as stated experience, certifications, and profile content. This screening is not a background check, credentialing verification, or endorsement, and approval does not guarantee a Coach's skill, safety practices, or conduct.

c. Prohibited Behavior

You agree not to:

  • Harass, threaten, abuse, defame, stalk, or intimidate any Coach, Student, or other user of the Service.
  • Misrepresent your identity, qualifications, certifications, age, or affiliation with any person or organization.
  • Post or send commercial spam, unsolicited advertising, or promotional content unrelated to arranging golf coaching.
  • Share phone numbers, email addresses, social media handles, or other contact information through the Service for the purpose of moving communication or transactions off the Service to circumvent Greenfound's fees, commissions, or policies.
  • Upload, post, or transmit content that is unlawful, obscene, sexually explicit, hateful, discriminatory, or that infringes another person's intellectual property or privacy rights.
  • Attempt to interfere with, disable, reverse-engineer, or gain unauthorized access to the Service or its underlying systems.
  • Use the Service for any fraudulent, illegal, or unauthorized purpose.

Violation of this Section may result in content removal, warnings, suspension, or termination of your account as described in Section 10.

d. Age Requirements

The Service is rated for users age 13 and older and is not intended for children under 13, and users under 13 are blocked from creating an account. If you are between the ages of 13 and 17, you may only use the Service with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf. We collect a parent or guardian's email address and verify their consent before your account is activated. Coaches interacting with a Student under 18 are solely responsible for ensuring appropriate, professional conduct and complying with any applicable laws regarding instruction of minors. Greenfound relies on user-provided information regarding age and does not independently verify a user's age; misrepresenting your age to bypass these requirements is a violation of Section 2.c.

3. Booking and Payments

a. Booking Policy

When a Student submits a lesson request and a Coach accepts it (or a booking is otherwise confirmed through the Service), a binding scheduling commitment is formed directly between the Student and the Coach. Greenfound facilitates this connection but is not a party to the resulting agreement.

b. Cancellation and No-Show Policy

Coaches may set their own cancellation, rescheduling, and no-show policies within the Service. The policy displayed to a Student at checkout for a given Coach governs that booking, and by completing a booking, the Student agrees to be bound by that Coach's stated policy. For lessons paid through Stripe Connect, cancellations made within the Coach's stated window are automatically refunded as described in Section 3.c. Greenfound is not otherwise responsible for enforcing, refunding, or mediating disputes arising from a Coach's cancellation policy, except as described in Section 3.d.

No-Show Reports: Either a Coach or a Student may report that the other party did not attend a scheduled lesson. When a no-show is reported, the reported party is asked to confirm whether they attended. For lessons paid through Stripe Connect, a confirmed no-show may result in compensation to the non-offending party (for example, a Coach retaining payment when a Student no-shows, or a Student receiving a refund when a Coach no-shows), in accordance with the Coach's stated policy. Greenfound facilitates the reporting and confirmation process but is not the adjudicator of fact and relies on the parties' attestations.

Short-Notice Bookings: If a booking is made within the Coach's late-cancellation window (for example, within 24 hours of the lesson start), the Student never had an opportunity to cancel outside that window. For such bookings, a Student cancellation is exempt from the late-cancellation fee and is fully refunded; the Coach may only receive compensation for that booking through a confirmed no-show as described above.

c. Payment Terms

The Service is currently completely free to use. Greenfound does not charge Students or Coaches any subscription, access, usage, or platform fees at this time. Lesson payments between Students and Coaches may still be processed through Stripe Connect as described below. If Greenfound were to introduce fees in the future, they would work as follows:

  • Lesson Payments via Stripe Connect (Optional): Coaches may optionally connect a Stripe account to the Service through Stripe Connect to receive lesson payments directly from Students within the Service. Using Stripe Connect is entirely optional for Coaches.
  • Platform Fee (if charged): No platform fee is currently charged. If Greenfound were to charge a platform fee on lesson payments processed through Stripe Connect, it would retain a fee equal to 5% of the lesson payment amount, deducted automatically as part of the Stripe transaction, with the remaining balance paid out directly to the Coach's connected Stripe account.
  • Lesson Payments Outside Stripe Connect: A Coach who does not connect a Stripe account may instead arrange to receive lesson payment through any other method the Coach and Student agree upon. That payment activity takes place outside the Service; Greenfound does not process, collect, hold, or take any commission or fee from it, and is not a party to that transaction.
  • Cancellation Refunds: If a Student cancels a lesson paid through Stripe Connect within the cancellation window set by the Coach under Section 3.b, the Student's payment will be fully refunded through Stripe. Refunds for lesson payments arranged outside Stripe Connect are the sole responsibility of the Coach and Student to arrange directly.
  • Lesson Packages: Coaches may offer multi-lesson packages. A package may be paid for online through Stripe at the time of purchase, or in person directly to the Coach. When a Student chooses to pay in person, the Student pays the Coach after the first lesson in the package, and the Coach confirms receipt within the Service before the package is activated. Package credits, expiration, and refund terms are as stated for the specific package at the time of purchase.
  • Payment Method on File: Students are required to keep a valid payment method on file so that cancellation and no-show fees permitted by a Coach's policy can be charged automatically. Disputes regarding such charges may be submitted to Greenfound for review under Section 3.d.
  • Coach Subscription and Boost Fees (if charged): No subscription or boost fees are currently charged. If Greenfound were to charge Coaches, a Coach might pay Greenfound a subscription fee to maintain an active coaching profile on the Service, and could optionally purchase profile-boost placements to increase visibility. Such payments would be made to Greenfound and processed through our third-party payment processor, Stripe.
  • If subscription or boost fees were charged, they would be billed in advance and, except as required by law or as otherwise expressly stated at the time of purchase, would be non-refundable, including in the case of early cancellation of a subscription.
  • Greenfound may change subscription or boost pricing, or the Stripe Connect platform fee percentage, at any time, with notice to Coaches before the change takes effect for future bookings or billing periods.

d. Disputes

Because lesson payments are either processed through Stripe Connect or arranged directly between Students and Coaches outside the Service, disputes over a lesson that did not occur, was unsatisfactory, or involved a failed or disputed payment are primarily the responsibility of the Student and Coach to resolve between themselves. For lesson payments processed through Stripe Connect, refunds for cancellations within a Coach's stated window are handled automatically as described in Section 3.c, and other payment disputes regarding those transactions may be submitted to Greenfound for review. Greenfound is not obligated to mediate, refund, or resolve disputes regarding lesson payments arranged outside Stripe Connect. Disputes regarding subscription or boost payments made directly to Greenfound may be submitted to us at the contact information in Section 14.

e. Delegated Course Access

A Coach or administrator may authorize a designated course or central account to view that Coach's schedule, check in students, and message the Coach through the Service. This access is granted at the direction of the Coach or administrator and is limited to the Coaches and bookings the observer is authorized to view. Greenfound is not responsible for how a delegated course account uses information it receives through this access beyond what is described in these Terms and our Privacy Policy.

4. Content and Moderation

a. User-Generated Content

The Service allows users to post content, including profile information, reviews, ratings, comments, messages, and photos ("User Content"). You are solely responsible for the User Content you post and for ensuring you have the right to post it.

b. Moderation Policy

Greenfound reserves the right, but does not assume the obligation, to monitor, review, flag, edit, or remove any User Content, and to suspend or terminate accounts, at our discretion and without prior notice, if we believe content or conduct violates these Terms, our Privacy Policy, or applicable law.

As described in our Privacy Policy, Greenfound uses automated, AI-based screening tools to scan messages and uploaded images to help detect and prevent inappropriate, abusive, or policy-violating content. Automated flags may result in content removal or escalation for limited human review. This moderation process helps maintain safety but does not guarantee that all inappropriate content will be detected or removed, and Greenfound is not liable for User Content that violates these Terms.

c. Ownership and License

You retain ownership of the User Content you post. By posting User Content on the Service, you grant Greenfound a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, and otherwise use that content in connection with operating, promoting, and improving the Service. This license ends when you delete the applicable content or your account, except to the extent your content has been shared with other users, incorporated into records we are required to retain, or displayed in aggregated or de-identified form.

5. Performance Metrics and Statistical Disclaimer

The Service may display statistics, ratings, reviews, or metrics such as Coach ratings, student handicap changes, or other performance indicators. These metrics are self-reported by users, platform-estimated, or derived from limited data, and are provided for general informational purposes only. They are not verified, audited, or guaranteed by Greenfound, and do not constitute a promise or guarantee of any particular outcome, skill improvement, or athletic performance. Individual results from golf coaching vary based on many factors outside Greenfound's control, including the Student's effort, physical condition, and the quality of instruction provided by an independent Coach.

6. Assumption of Risk

Golf coaching and related physical activity carry inherent risks of injury, including but not limited to injury from swinging golf clubs, being struck by golf balls or equipment, uneven or outdoor terrain, weather conditions, and physical exertion. By using the Service to book or provide a coaching session, you voluntarily and knowingly assume all risks of injury, death, or property damage arising from or related to any coaching session, whether caused by the negligence of a Coach, Student, or otherwise, to the fullest extent permitted by law.

7. Disclaimer of Warranties

THE SERVICE, AND ALL CONTENT AND COACHING SERVICES ARRANGED THROUGH IT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GREENFOUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY COACH OR STUDENT WILL MEET YOUR EXPECTATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENFOUND AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO (A) YOUR USE OF OR INABILITY TO USE THE SERVICE, (B) ANY CONDUCT, ACTS, OR OMISSIONS OF ANY COACH OR STUDENT, INCLUDING PHYSICAL INJURY OCCURRING DURING A COACHING SESSION, OR (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF GREENFOUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENFOUND'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID DIRECTLY TO GREENFOUND (EXCLUDING PAYMENTS MADE DIRECTLY TO A COACH) IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Greenfound and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any coaching session, interaction, or dispute between you and another user, including any injury, property damage, or payment dispute.

10. Termination

Greenfound may suspend or terminate your account or access to the Service, at our discretion and with or without prior notice, if we believe you have violated these Terms (including the Prohibited Behavior or Moderation provisions above), attempted to circumvent Greenfound's fees or policies, or engaged in conduct that we believe is harmful to other users, third parties, or Greenfound. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 1, 4.c, 5 through 9, 11, and 13) will survive.

11. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Before filing a claim against Greenfound, you agree to first contact us at the email in Section 14 and attempt in good faith to resolve the dispute informally.

If a dispute cannot be resolved informally, you and Greenfound agree that, to the fullest extent permitted by law, the dispute will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court. You and Greenfound each waive the right to a jury trial and to participate in a class, collective, or representative action. This arbitration agreement does not apply to claims that, under applicable law, cannot be subject to mandatory pre-dispute arbitration, such as certain sexual assault or sexual harassment claims under U.S. federal law.

12. Changes to These Terms

Greenfound may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date above and, where appropriate, through additional notice such as an in-app notification or email. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Greenfound regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Greenfound's failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer these Terms without our consent. Greenfound may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Relationship of Parties: Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Greenfound and any user, including Coaches.
